IMPORTANT NOTICE: Please read these Terms of Service carefully before purchasing, downloading, or using any software, plugins, themes, or services provided by CodeClove Technologies. By accessing our website, creating an account, or purchasing a license, you agree to be bound by these terms.

1. Introduction & Company Information

These Terms of Service (“Terms”, “Agreement”) constitute a legally binding agreement between you (“Customer”, “Licensee”, “you”) and CodeClove Technologies (“CodeClove”, “we”, “us”, “our”). These Terms govern your access to and use of the website at https://codeclove.com (and affiliated domains), our digital software products (including WordPress plugins and themes), software updates, technical support services, and custom engineering engagements.

2. Open Source Licensing & The GNU General Public License (GPL)

All PHP source code in CodeClove WordPress plugins and themes is licensed under the GNU General Public License v2.0 or later (GPL v2+). You are free to use, modify, and redistribute the underlying PHP code in accordance with the GPL.

Non-PHP assets, including proprietary design elements, CSS stylesheets, JavaScript files, images, branding assets, and documentation, are protected under international copyright law and may be licensed separately unless explicitly declared under the GPL.

3. License Keys & Service Token Terms

When you purchase a commercial software package from CodeClove, you are issued a unique, non-transferable Commercial License Key. In our commercial model:

  • Service Access: The license key acts as a digital service token that grants access to one-click automatic software updates, security patches, new feature releases, and technical support services.
  • Tier Restrictions: A Single-Site License authorizes activation on one (1) production website domain; a 5-Site License authorizes up to five (5) production domains; an Agency/Unlimited License authorizes activation on unlimited domains owned by you or your direct development clients.
  • Staging & Localhost Exemption: Development, staging, and local environments (including localhost, *.test, *.local, staging.*, and dev.*) do not count toward your active production license limit.
  • Non-Transferability: License keys are issued exclusively to the purchasing individual or legal entity. Reselling, sub-licensing, sharing, or publicly distributing license keys is strictly prohibited and results in immediate termination of updates and support without refund.

4. Payments, Pricing & Billing

All prices listed on CodeClove are denominated in United States Dollars ($ USD) unless otherwise noted. Payments are processed securely via verified PCI-compliant third-party gateways (Stripe, PayPal, Razorpay). CodeClove never stores, handles, or transmits raw credit card numbers.

  • Subscriptions & Auto-Renewal: Commercial licenses are sold on an annual subscription basis. Your subscription will automatically renew at the end of each billing period unless cancelled prior to the renewal date.
  • Renewal Price Guarantee: Grandfathered renewal pricing applies as long as your subscription remains continuously active without lapse or cancellation.
  • Cancellation: You may cancel your subscription renewal at any time with a single click from your Customer Account Portal. Upon cancellation, your license remains active through the end of the paid billing cycle.

5. 14-Day Refund Policy & Digital Goods Terms

Our complete refund terms are governed by our dedicated 14-Day Refund Policy. In summary, we provide a 14-day technical satisfaction guarantee for software purchases if the product is verified to be non-functional on your environment and our support engineering team is unable to resolve the issue.

EU Statutory Cooling-Off Waiver: In accordance with Article 16(m) of the EU Consumer Rights Directive (2011/83/EU) and equivalent international digital consumer laws, you expressly acknowledge and consent that the supply of digital software content begins immediately upon purchase and download, and you acknowledge that you waive your 14-day statutory right of withdrawal in exchange for CodeClove’s voluntary 14-day technical guarantee.

6. Chargebacks & Fraudulent Payment Disputes

If you experience any billing issue or technical problem, you agree to contact CodeClove Support at [email protected] prior to initiating a dispute or chargeback with your bank or payment provider.

Initiating a fraudulent, unjustified, or bad-faith chargeback without attempting resolution constitutes a material breach of this Agreement. CodeClove reserves the right to immediately deactivate all associated license keys, terminate account access, report fraudulent chargebacks to anti-fraud networks, and recover dispute administrative fees ($25 USD per incident).

7. Technical Support Scope & Service Level Agreement (SLA)

Active license holders receive priority access to technical support under the following terms:

  • Included Support: Assistance with software installation, license activation, core plugin configuration, and verified software bug patches.
  • Excluded Support: Custom code modifications, third-party plugin/theme conflicts caused by unverified external scripts, general WordPress server hosting administration, and database repair resulting from external malware.
  • Support Hours & Response Times: Standard support inquiries are answered within 24 business hours (Monday – Friday, 09:00 to 18:00 IST).

8. Warranty Disclaimer (“AS IS” Provision)

THE SOFTWARE AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

CODECLOVE DOES NOT WARRANT THAT THE SOFTWARE WILL OPERATE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE IMMEDIATELY CORRECTED, OR THAT THE SOFTWARE IS 100% COMPATIBLE WITH ALL THIRD-PARTY PLUGINS, THEMES, OR HOSTING ENVIRONMENTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CODECLOVE TECHNOLOGIES, ITS FOUNDERS, OFFICERS, EMPLOYEES, AFFILIATES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, GOODWILL, WORK STOPPAGE, SYSTEM DOWNTIME, OR COMPUTER FAILURE ARISING OUT OF OR IN CONNECTION WITH THE USE OR INABILITY TO USE OUR SOFTWARE OR SERVICES.

IN ALL CIRCUMSTANCES, CODECLOVE’S TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL BE STRICTLY LIMITED TO THE AMOUNT ACTUALLY PAID BY YOU FOR THE SPECIFIC SOFTWARE LICENSE OR SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to defend, indemnify, and hold harmless CodeClove Technologies, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in any way connected with your use of our software, your violation of these Terms, or your violation of any third-party rights.

11. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the substantive laws of India, without regard to its conflict of law principles. Any dispute, controversy, or claim arising out of or relating to this Agreement shall be resolved through good-faith negotiation, and failing that, submitted to the exclusive jurisdiction of the competent courts in India. International customers agree that the United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.
